Track the equity paperwork an acquirer reviews — founders' agreement (vesting & cliff), SHA, SSA, term sheets, the resolutions register and the ESOP plan, pool and grant letters — each closed with evidence.
At diligence an acquirer's lawyer asks for the equity paperwork, not a spreadsheet. ComplianceStack tracks those documents as evidence-backed obligations in the Cap table & equity section of your diligence checklist — so each one is either on file or visibly missing.
What's tracked
- Founders' agreement— including vesting & cliff. Unvested founder equity is a top-five red flag.
- Shareholders' agreement (SHA) and share subscription agreement (SSA), plus the term sheet(s).
- The board & shareholders' resolutions register.
- The ESOP plan, the approved option pool, and the grant letters — tracked when you tell us you run an ESOP.
These appear once you mark the company funded (and, for the ESOP items, that you have an ESOP scheme) in your profile. Close each by uploading the signed document — the same evidence vault as the rest of your compliance.
What we deliberately don't do
ComplianceStack owns the statutory data room, not live cap-table maths — share ledgers, dilution and waterfalls belong in a dedicated equity tool. We track the documents an investor verifies; confirm the underlying terms with your CS or lawyer.
